Board focus areas in 2016

The Committees

The Board has established four permanent Committees that deal with significant aspects of Keller’s affairs. These are: the Nomination Committee; the Audit Committee; the Health, Safety, Environment & Quality Committee; and the Remuneration Committee. The Company Secretary acts as Secretary to all the Committees.

The Board has established two committees for the purpose of effecting routine and administrative matters relating to share plans and banking facilities. These are: the Share Plans Committee; and the Bank Guarantees and Facilities Committee.

The Disclosure Committee meets periodically when required to consider Keller’s disclosure obligations in relation to material information.

Compliance with UK Corporate Governance Code

Throughout the financial year ended 31 December 2016, we have complied with the provisions set out in the UK Corporate Governance Code 2016 (the ‘Code’).
